These terms govern your use of the Apex Analytix Consulting website and services. Please read them carefully before accessing or using our platform.

1. Acceptance of Terms

By accessing, browsing, or using the Apex Analytix Consulting website (the "Site") located at the domain displayed in your browser's address bar, or by engaging any of our consulting, analytics, or artificial intelligence services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (the "Terms"). These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Apex Analytix Consulting Inc. ("Apex Analytix," "Company," "we," "us," or "our").

If you do not agree to any provision of these Terms, you must discontinue use of the Site and Services immediately. Your continued use of the Site after the effective date of any modifications constitutes acceptance of the revised Terms.

You represent and warrant that you are at least 18 years of age and possess the legal capacity to enter into binding agreements. If you are accessing the Site or Services on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms, and all references to "you" shall include both you as an individual and the entity you represent.

These Terms apply to all visitors, users, clients, and any other persons who access the Site, whether or not they engage our paid Services.

Apex Analytix Consulting Inc. provides AI-powered business consulting, data analytics, process automation advisory, and data governance services to organizations operating in Canada and internationally. Our Services include, but are not limited to:

  • AI strategy development and implementation planning
  • Business intelligence dashboard design and deployment
  • Machine learning model development, validation, and monitoring
  • Data pipeline engineering and cloud analytics infrastructure
  • Process automation assessment and intelligent workflow design
  • Data governance framework creation and compliance advisory (including PIPEDA alignment)
  • Executive workshops, training sessions, and strategic briefings
  • Free initial consultation sessions as described on the Site

The scope of any specific engagement is defined by a separate Statement of Work ("SOW") or service agreement executed between Apex Analytix and the client. These Terms govern your use of the Site and serve as a baseline framework. In the event of a conflict between these Terms and a signed SOW, the terms of the SOW shall prevail with respect to the specific engagement.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice. We will make reasonable efforts to notify existing clients of material changes that affect active engagements.

3. User Obligations

By using this Site and our Services, you agree to the following obligations and restrictions:

  • Lawful Use: You will use the Site and Services only for lawful purposes and in compliance with all applicable federal, provincial, and local laws and regulations in Canada, including the Personal Information Protection and Electronic Documents Act (PIPEDA).
  • Accuracy of Information: When submitting forms, requesting consultations, or communicating with us, you will provide accurate, current, and complete information. You will not impersonate any person or entity or misrepresent your affiliation with any organization.
  • No Unauthorized Access: You will not attempt to gain unauthorized access to any portion of the Site, its servers, databases, or any connected systems through hacking, password mining, or any other unauthorized means.
  • No Scraping or Harvesting: You will not use automated tools, bots, scrapers, or spiders to collect data from the Site, extract content, or harvest email addresses or other personal information.
  • No Interference: You will not upload or transmit viruses, malware, or any code designed to disrupt, damage, or limit the functionality of the Site or its infrastructure.
  • No Illegal Activity: You will not use the Site or Services to facilitate, promote, or support any illegal activity, including but not limited to fraud, money laundering, or the distribution of prohibited content.
  • Confidentiality: If you receive proprietary methodologies, frameworks, or tools during a consulting engagement, you agree to treat them as confidential unless a separate agreement specifies otherwise.

Violation of any of these obligations may result in immediate suspension or termination of your access to the Site and Services, and may expose you to legal liability.

4. Intellectual Property

All content, materials, and elements displayed on or available through this Site are the exclusive property of Apex Analytix Consulting Inc. or its licensors. This includes, without limitation, text, graphics, logos, icons, images, audio clips, data compilations, software, frameworks, methodologies, case study descriptions, and the overall design and arrangement of the Site (collectively, "Content").

The Apex Analytix name, logo, taglines, and all related names, logos, product and service names, designs, and slogans are trademarks of Apex Analytix Consulting Inc. You may not use these marks without our prior written permission.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial informational purposes only. This license does not permit you to:

  • Reproduce, distribute, or create derivative works from any Content without express written consent
  • Use any Content for commercial purposes or public display
  • Remove or alter any copyright, trademark, or other proprietary notices

Deliverables created during paid consulting engagements are governed by the intellectual property terms specified in the applicable SOW or service agreement. Unless otherwise agreed in writing, Apex Analytix retains ownership of all pre-existing intellectual property, proprietary frameworks, and methodologies used in the delivery of Services.

5. Disclaimers

To the fullest extent permitted by applicable law, Apex Analytix Consulting Inc. disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Site will be available at all times, that access will be uninterrupted or error-free, that defects will be corrected, or that the Site or its servers are free of viruses or harmful components. 6. Limitation of Liability

To the maximum extent permitted under applicable law, Apex Analytix Consulting Inc., its directors, officers, employees, agents, affiliates, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or in connection with your use of, or inability to use, the Site or Services.

This limitation applies regardless of the legal theory on which the claim is based, including but not limited to negligence, breach of contract, strict liability, or any other theory, and even if we have been advised of the possibility of such damages. Specifically, we are not liable for:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or damage to data systems
  • Business interruption or downtime costs
  • Cost of procuring substitute services
  • Any reliance placed on information obtained through the Site
  • Actions taken by third parties, including advertising platforms, analytics providers, or internet service providers

In jurisdictions that do not allow the exclusion or limitation of certain damages, our liability shall be limited to the maximum extent permitted by law.

In no event shall Apex Analytix's total aggregate liability arising out of or related to these Terms or your use of the Site exceed the greater of (a) the total fees paid by you to Apex Analytix during the twelve (12) months preceding the event giving rise to the claim, or (b) one thousand Canadian dollars (CAD $1,000).

7. Indemnification

You agree to defend, indemnify, and hold harmless Apex Analytix Consulting Inc., its directors, officers, employees, agents, contractors, and affiliates from and against any and all claims, demands, actions, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of or access to the Site or Services
  • Your violation of any provision of these Terms
  • Your violation of any applicable law, regulation, or third-party right
  • Any content, data, or information you submit through the Site
  • Your negligence or willful misconduct
  • Any misuse of proprietary materials, methodologies, or frameworks provided during a consulting engagement

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate with our defense of such claims and not to settle any matter without our prior written consent.

8. Third-Party Links

The Site may contain links to third-party websites, applications, or services that are not owned or controlled by Apex Analytix Consulting Inc. These links are provided for your convenience and informational purposes only. We do not endorse, monitor, or assume any responsibility for the content, privacy policies, terms of use, or practices of any third-party websites or services.

By using the Site, you acknowledge that you have read and understood our Privacy Policy. We comply with the Personal Information Protection and Electronic Documents Act (PIPEDA), the General Data Protection Regulation (GDPR) where applicable to users in the European Economic Area, and other relevant privacy legislation. 10. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to any conflict of law principles that would require the application of the laws of a different jurisdiction.

Any legal proceedings arising out of or relating to these Terms or your use of the Site or Services shall be brought exclusively in the courts of competent jurisdiction located in Toronto, Ontario, Canada. You irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection based on inconvenient forum or lack of jurisdiction.

If you access the Site from outside Canada, you are responsible for compliance with all applicable local laws. We make no representation that the content or Services available on the Site are appropriate or available for use in locations outside Canada.

11. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Site or Services, the parties agree to first attempt to resolve the matter through good-faith informal negotiations. You agree to contact us at [email protected] with a written description of the dispute, and we will work to reach a mutually acceptable resolution within thirty (30) calendar days.

If the dispute cannot be resolved through informal negotiations within the 30-day period, either party may submit the matter to binding arbitration administered by the ADR Institute of Canada under its Arbitration Rules then in effect. The arbitration shall take place in Toronto, Ontario, and shall be conducted in English. The arbitrator's decision shall be final and binding on both parties, and judgment upon the award may be entered in any court of competent jurisdiction.

Notwithstanding the above, either party retains the right to seek injunctive or equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.

12. Termination

We reserve the right to suspend or terminate your access to the Site and Services, in whole or in part, at our sole discretion, without prior notice or liability, for any reason, including but not limited to:

  • Violation of any provision of these Terms
  • Conduct that we determine, in our sole judgment, to be harmful to other users, third parties, or our business interests
  • Engagement in unauthorized, fraudulent, or illegal activity
  • Request by law enforcement or government agencies
  • Extended periods of inactivity on an account, if applicable

Upon termination, your right to use the Site ceases immediately. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitation of liability, indemnification, and governing law.

If we terminate or suspend your access for a reason other than your violation of these Terms, we will make reasonable efforts to notify you in advance using the contact information you have provided, where commercially practical.

13. Changes to Terms

Apex Analytix Consulting Inc. reserves the right to modify, amend, or replace these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and provide notice through one or more of the following methods:

  • A prominent banner on our homepage for a minimum of fourteen (14) days before changes take effect
  • Direct email notification to users who have provided their email address through our contact forms or engagement agreements
  • An updated "Last Updated" date on this Terms of Service page

Material changes will not take effect until at least fourteen (14) days after the notice is posted. Your continued use of the Site after the effective date of revised Terms constitutes your acceptance of the new terms. If you do not agree with any changes, you should discontinue your use of the Site.

We encourage you to review these Terms periodically to stay informed about how your use of the Site is governed. Non-material changes, such as corrections of typographical errors or clarifications of existing language, may be made without the 14-day notice period.

15. General Provisions

Entire Agreement

These Terms, together with the Privacy Policy and any applicable Statement of Work or service agreement, constitute the entire agreement between you and Apex Analytix Consulting Inc. regarding your use of the Site and Services. These Terms supersede all prior or contemporaneous communications, proposals, and representations, whether electronic, oral, or written, between you and Apex Analytix with respect to the subject matter herein.

Severability

If any provision of these Terms is found to be unenforceable, invalid, or illegal by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

Waiver

The failure of Apex Analytix to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Apex Analytix.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Apex Analytix may assign these Terms, in whole or in part, to any successor entity resulting from a merger, acquisition, or sale of substantially all of its assets, provided the assignee agrees to be bound by these Terms.

Force Majeure

Apex Analytix shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, power failures, internet outages, cyberattacks, or labor disputes.

Language

These Terms are drafted in English. A French-language version may be made available for convenience; however, in the event of any inconsistency between the English and French versions, the English version shall prevail to the maximum extent permitted by applicable law. For users in the Province of Quebec, both language versions shall have equal legal effect as required by the Charter of the French Language.
